1. Acceptance of Terms
By accessing or using Lexfora (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a law firm or other organization, you represent and warrant that you have the authority to bind that organization, and "you" refers to that organization throughout these Terms.
If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any updates to these Terms constitutes acceptance of the revised Terms.
2. Description of Service
Lexfora is a cloud-based practice management platform for attorneys and law firms, combined with a public attorney directory and service provider marketplace. The Service includes:
- Practice Management: Matter and case management, client records, task and calendar management, document storage, statute of limitations tracking, and workflow playbooks.
- Billing and Payments: Time tracking, invoice generation, expense management, online payment collection (powered by Stripe), Text-to-Pay links, payment plans, and IOLTA trust accounting ledgers.
- AI Tools: AI-assisted time entry capture from calendar events, AI bio and headline suggestions for directory profiles, and an AI profile completeness coach.
- Communications and Video: In-app messaging, video consultation sessions (powered by Daily.co), and electronic signature tools.
- Attorney Directory: A public directory allowing attorneys to create and manage public profiles and enabling potential clients to search for and contact attorneys.
- Service Provider Marketplace: A directory of pre-vetted legal service providers (court reporters, expert witnesses, investigators, translators, and similar professionals).
- Client Portal: A white-labeled portal through which attorneys can share case updates, documents, and invoices with their own clients.
- Reporting and Analytics: Revenue dashboards, billing reports, and matter progress tracking.
- Integrations: Optional connections to Clio, MyCase, QuickBooks, and Google Calendar.
Lexfora reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, subject to our obligations under these Terms.
3. Eligibility and Account Registration
To use Lexfora, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Certain features are available only to licensed attorneys or accredited legal professionals.
When creating an account, you agree to:
- Provide accurate, current, and complete information
- Promptly update your account information if it changes, including bar number, bar status, and firm details
- Keep your login credentials confidential and not share them with unauthorized persons
- Accept responsibility for all activity that occurs under your account
- Notify us immediately through our security contact form if you believe your account has been compromised
We reserve the right to suspend or terminate accounts that contain materially inaccurate information, including false bar credentials.
4. Subscription Plans and Billing
4.1 Plans
Lexfora offers several paid subscription tiers (currently Starter, Professional, Firm, Elite, and Enterprise) with different feature sets and pricing. Plan details, including current pricing and included features, are available on our Pricing page. Subscriptions are priced per firm (not per seat) and cover your entire team.
4.2 Billing Cycles
Subscriptions are available on monthly or annual billing cycles. Annual subscriptions are billed upfront for the full year and receive a discounted rate. Monthly subscriptions are billed at the start of each billing period.
4.3 Pay-Per-Performance (PPP) Model
As an alternative to flat-rate subscriptions, we may offer a Pay-Per-Performance billing model during the trial period, under which you pay a percentage of payments collected from your clients through the platform within 7 days of invoice issuance. Details of the PPP model, including applicable rates, are disclosed at the time of enrollment and may be updated with notice.
4.4 Payment Processing
All subscription payments are processed by Stripe. By providing payment information, you authorize GradeCircle to charge your designated payment method for the applicable subscription fee on a recurring basis. You represent that you are authorized to use the payment method provided.
4.5 Failed Payments
If a subscription payment fails, we will notify you and attempt to retry the charge. If payment cannot be collected after reasonable retry attempts, your access to paid features may be suspended until payment is successfully processed.
4.6 Auto-Renewal and Cancellation
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current paid billing period; you will retain access to paid features until that date. We do not issue prorated refunds for mid-period cancellations unless required by applicable law.
4.7 Price Changes
We reserve the right to change our pricing at any time. We will give you at least 30 days' advance notice of any price increase before it takes effect for your subscription. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
4.8 Taxes
Subscription fees are exclusive of applicable taxes. Where required, we will collect and remit applicable sales tax, VAT, or similar taxes on your subscription.
5. Free Trial
Lexfora offers a 14-day free trial for new accounts. No credit card is required to start a trial. During the trial period, you have access to the full feature set of the platform.
At the end of the trial period:
- Your account and all data you have entered will remain intact.
- Access to paid features will be restricted until you select and activate a paid subscription plan.
- You may export your data at any time during or after the trial.
We reserve the right to modify or discontinue the free trial offer at any time. Accounts found to be abusing trial access (e.g., creating multiple accounts to extend trial periods) may be suspended.
6. User Obligations
By using Lexfora, you agree to:
- Provide accurate, truthful, and complete information in your account profile, attorney directory listing, and all data you enter into the platform
- Maintain the security of your account credentials and promptly report any suspected unauthorized access
- Use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and bar association rules
- Comply with the professional responsibility rules of every jurisdiction in which you are licensed or practice
- Not submit false, misleading, or fabricated information — including false bar credentials, fictitious case results, or fabricated reviews
- Not attempt to circumvent security measures, access controls, or rate limits
- Ensure that any client data you store on the platform is handled in accordance with your professional confidentiality obligations
7. Acceptable Use Policy
You agree not to use Lexfora to:
- Violate any applicable law, regulation, or court order
- Harass, abuse, threaten, or harm other users or third parties
- Impersonate another attorney, person, or organization
- Claim bar admission in a jurisdiction where you are not licensed
- Post false, defamatory, or misleading reviews or endorsements
- Transmit malware, viruses, ransomware, or other harmful code
- Scrape, harvest, or systematically extract data from the platform without our prior written authorization
- Access or attempt to access data belonging to other users or organizations without authorization
- Use the Service for unauthorized mass advertising, spam, or unsolicited marketing communications
- Misuse AI features — including attempting to use AI tools to generate content that violates bar advertising rules, to deceive potential clients, or to circumvent the requirement for human review and approval
- Use the API or any integration in a manner that exceeds documented rate limits or creates unreasonable load on our infrastructure
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may be reported to applicable bar associations or law enforcement.
8. Attorney Directory and Profiles
8.1 Profile Accuracy: Attorneys are solely responsible for the accuracy, truthfulness, and bar-rule compliance of all content in their directory profile, including biographical information, practice areas, case results, peer endorsements, and Q&A responses.Lexfora makes reasonable efforts to verify bar numbers and identity during profile setup, but does not guarantee the accuracy of any attorney profile and is not liable for inaccurate information submitted by attorneys.
8.2 No Attorney-Client Relationship: Browsing the directory, viewing attorney profiles, or submitting a lead inquiry through the platform does not create an attorney-client relationship. An attorney-client relationship is established only through a separate, mutual agreement between the attorney and client, typically evidenced by an engagement letter or retainer agreement.
8.3 Profile Claims: Only licensed attorneys may claim and maintain a profile in the directory. Attorneys who are suspended, disbarred, or otherwise not in good standing with their bar association must promptly notify us and may not represent themselves as active practitioners. False or unauthorized profile claims may result in immediate removal and referral to the applicable state bar.
8.4 Lead Routing: The platform routes potential client inquiries ("leads") to attorneys based on search criteria and practice area. We do not guarantee a minimum number of leads and are not responsible for the outcome of any attorney-client relationship initiated through the platform.
8.5 Reviews and Endorsements: Client reviews and peer endorsements are submitted by third parties and represent their independent opinions. We moderate reviews for compliance with our guidelines but do not independently verify their accuracy. Attorneys who believe a review is false or defamatory may contact us to request review and potential removal.
8.6 Exclusive Territory: The Elite plan includes the option to purchase geographic and practice area exclusivity ("Exclusive Territory") limiting competing listings in a defined area. Exclusivity terms, coverage, and any transfer restrictions are described in the separate Exclusive Territory agreement executed at the time of purchase.
9. Service Provider Marketplace
9.1 Provider Eligibility: The service provider marketplace is available to approved legal service providers, including court reporters, expert witnesses, investigators, translators, and process servers. Providers must apply and be approved before their listings become active.
9.2 Independent Contractors: Service providers listed on Lexfora are independent contractors, not employees or agents of GradeCircle. We do not supervise, control, endorse, or guarantee the quality of services provided by any listed provider. Any engagement between an attorney and a service provider is a separate agreement between those parties.
9.3 No Warranty on Provider Services: Lexfora does not warrant or represent that any service provider is qualified, licensed, insured, or suitable for any particular engagement. Attorneys should conduct their own due diligence before retaining any service provider.
9.4 Provider Obligations: Providers agree to maintain accurate listings, comply with applicable licensing and insurance requirements, and not misrepresent their qualifications or experience on the platform.
10. Client Portal
10.1 Attorney Responsibility: The client portal is a white-labeled tool that enables attorneys to share case status, documents, and invoices with their own clients. The attorney — notGradeCircle — is the service provider to portal clients and bears sole responsibility for the accuracy of information shared through the portal, compliance with applicable professional rules, and the security of client communications.
10.2 Client Data: Personal data about the attorney's clients that is entered into the portal is processed by GradeCircle as a data processor on the attorney's behalf. See Section 11 of our Privacy Policy for details.
10.3 No Direct Relationship: Portal clients do not have a contractual relationship with GradeCircle; their relationship is solely with the attorney whose portal they access.
11. AI Features
Lexfora includes AI-powered features designed to assist attorneys. Use of AI features is subject to the following terms:
11.1 AI Time Capture: The AI Time Capture feature analyzes connected Google Calendar event titles to suggest billable time entries. Suggested entries are drafts only and require explicit attorney review and approval before being created. Calendar access is governed by the permissions you grant through Google's OAuth consent screen and can be revoked at any time.
11.2 AI Profile Tools: AI Bio and Headline suggestion tools generate draft marketing content based on information you provide. You are solely responsible for reviewing all AI-generated content before publishing it on your directory profile and for ensuring that published content complies with all applicable bar advertising rules.
11.3 No Guarantee of Accuracy: AI features may produce inaccurate, incomplete, or inappropriate suggestions. Lexfora makes no warranty regarding the accuracy or fitness of AI-generated suggestions. Attorneys bear full professional responsibility for all content they approve and publish, all time entries they create, and all billing decisions they make.
11.4 Not Legal Advice: AI features do not provide legal advice and should not be used as a substitute for independent professional judgment.
12. Trust Accounting Features
Lexfora provides tools for tracking IOLTA and other client trust account ledgers. These are record-keeping tools only:
- GradeCircle is not a bank, escrow agent, or financial institution. We do not hold, manage, control, or disburse client funds.
- Attorneys are solely and entirely responsible for ensuring their trust accounting practices comply with the Rules of Professional Conduct of every jurisdiction in which they are licensed, including three-way reconciliation requirements and record-keeping obligations.
- Errors or omissions in trust account records entered by attorneys or their staff are the sole responsibility of the attorney. We strongly recommend attorneys verify all ledger entries against their actual bank statements.
- By activating trust accounting features, attorneys acknowledge their independent professional obligation to comply with applicable IOLTA and trust accounting rules and acknowledge that Lexfora is a technology tool — not an auditor, compliance officer, or financial advisor.
13. Intellectual Property
13.1 Our IP: All content, design, code, trademarks, trade names, logos, and other intellectual property comprising or embedded in the Lexfora platform (excluding User Content) are owned by GradeCircle or its licensors. Nothing in these Terms grants you any ownership interest in our intellectual property. You may not copy, reproduce, modify, distribute, or create derivative works based on our platform without our prior written consent.
13.2 User Content License: You retain ownership of all content you create, upload, or submit through the Service ("User Content"), including matter records, client data, documents, and directory profile content. By submitting User Content, you grant GradeCircle a limited, non-exclusive, royalty-free license to store, process, display, and transmit your User Content solely as necessary to provide the Service to you and your authorized users. This license terminates when you delete the content or close your account (subject to our data retention obligations).
13.3 Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.
14. Disclaimers and Limitations of Liability
14.1 No Legal Advice: Lexfora is a technology platform. We do not provide legal advice, legal services, or legal representation. Nothing on our platform constitutes legal advice or creates an attorney-client relationship between you and GradeCircle.
14.2 No Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
14.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADECIRCLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, CLIENTS, REVENUE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.4 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADECIRCLE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GRADECIRCLE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
14.5 Third-Party Content: We are not responsible for the accuracy of attorney profiles, reviews, endorsements, or information provided by third parties on the platform, or for the actions or omissions of any attorney or service provider you find through the platform.
15. Indemnification
You agree to defend, indemnify, and hold harmless GradeCircle and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or bar association rule
- Your User Content, including any claim that your content infringes a third party's rights
- Any dispute between you and a client, opposing party, or service provider arising from your use of the platform
16. Termination
16.1 Termination by You: You may cancel your subscription and close your account at any time through your billing settings. Cancellation takes effect at the end of the current billing period.
16.2 Termination by Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause. Where practicable, we will provide advance notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment of subscription fees, fraudulent activity, or actions that could expose GradeCircle to legal liability.
16.3 Effect of Termination: Upon termination of your account:
- Your access to the Service and all paid features will be revoked.
- Your account data will remain accessible for export for 30 days following the termination date, after which it will be scheduled for permanent deletion in accordance with our Privacy Policy.
- Any outstanding subscription fees owed at the time of termination remain due and payable.
- Provisions of these Terms that by their nature should survive termination — including Sections 13 (Intellectual Property), 14 (Disclaimers), 15 (Indemnification), 17 (Dispute Resolution), and 19 (Governing Law) — will survive.
We strongly recommend exporting your data before closing your account or at any time using the data export tools available in your settings.
17. Dispute Resolution and Arbitration
17.1 Informal Resolution: Before initiating any formal legal proceeding, you agree to contact us through our legal contact form and attempt to resolve the dispute informally. We will make reasonable efforts to work toward a resolution within 30 days of receiving written notice of your claim.
17.2 Binding Arbitration: If the dispute is not resolved informally, you and GradeCircle agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Service through binding, individual arbitration administered by JAMS (or a mutually agreed alternative arbitration provider) in Travis County, Texas, pursuant to the applicable JAMS rules, except as provided in Section 17.4 below. The arbitrator's decision will be final and binding.
17.3 Class Action Waiver: YOU AND GRADECIRCLE EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
17.4 Exceptions: Notwithstanding the arbitration agreement, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop infringement of intellectual property rights, unauthorized access to data, or irreparable harm. Small claims court actions within applicable jurisdictional limits are also excluded from mandatory arbitration.
17.5 Arbitration Costs: Arbitration fees will be allocated in accordance with the JAMS rules. If you are an individual consumer and the arbitration demand is for $10,000 or less, we will pay your share of JAMS filing and case management fees.
18. Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, internet or infrastructure outages, cyberattacks, or failures of third-party service providers. The affected party will promptly notify the other party and use reasonable efforts to resume performance as soon as practicable.
19. Governing Law, Severability, and Entire Agreement
19.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. For any disputes not subject to arbitration under Section 17, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.
19.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
19.3 Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific features (e.g., the Exclusive Territory agreement), constitute the entire agreement between you and GradeCircle with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings.
19.4 Waiver: Failure by GradeCircle to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
19.5 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
